3. Quotes, Proposals, and Engagements

Project briefs submitted through the Site are treated as enquiries, not contracts. A binding engagement is created only once both parties have signed a written proposal or statement of work. Until that point, either party may decline to proceed without liability.

4. Fees and Payment

Unless otherwise agreed in writing, project fees are quoted in Indian Rupees or US Dollars and exclude applicable taxes. Invoices are payable within the timeframe stated on the invoice. Late payments may attract interest and may result in suspension of work until the outstanding balance is settled.

5. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and code — is the property of Codoffer or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Site content without our prior written consent.

Ownership of deliverables produced under a paid engagement is governed by the relevant statement of work. Unless otherwise agreed, ownership of project deliverables transfers to the client only upon receipt of full payment. Codoffer retains ownership of any pre-existing tools, frameworks, libraries, and know-how it uses to deliver the work.

6. Confidentiality

We treat the project information you share with us as confidential and use it only to evaluate your enquiry and deliver the services you have engaged us for. Where appropriate, we are happy to sign a mutual non-disclosure agreement before reviewing sensitive material.
